Please read the following terms and conditions carefully. These terms and conditions govern the use of Visual Collections' graphic design services, including logo design, UI/UX design, print design, web design, and any other related graphic design services. By engaging in business with Visual Collections, you agree to comply with and be bound by these terms and conditions.

 

1. Services Offered: Visual Collections provides graphic design services, including but not limited to logo design, UI/UX design, print design, web design, and other graphic design services as agreed upon between Visual Collections and the client.

2. Intellectual Property Rights: All designs, concepts, artwork, logos, or other materials created or developed by Visual Collections remain the intellectual property of Visual Collections unless otherwise agreed upon in writing. The client understands and acknowledges that the intellectual property rights of any provided designs or concepts remain with Visual Collections.

3. Copyright and Trademarks: The client is responsible for ensuring that all content, materials, and information provided to Visual Collections for the creation of designs are free from copyright or trademark infringement. The client shall indemnify and hold Visual Collections and its graphic designers harmless against any claims, actions, costs, damages, or liabilities arising from copyright or trademark infringement.

4. Client's Responsibility: The client acknowledges and understands that it is their responsibility to conduct proper due diligence, research, and clearance checks for any potential copyright or trademark conflicts related to the designs created by Visual Collections. Visual Collections and its graphic designers shall not be held responsible for any claims or legal actions arising due to copyright or trademark infringement by the client's use of the designs.

5. Refunds: In the event that a client faces a valid copyright or trademark claim related to the designs provided by Visual Collections, Visual Collections agrees to provide a full refund to the client for the services rendered, excluding the non-refundable downpayment. The non-refundable downpayment, which amounts to 50% of the total agreed-upon fee or any downpayment made, shall not be subject to refund if the designers have already commenced work on the project. This refund will be agreed upon by both parties and will be the sole remedy available to the client in such cases.Limitation of Liability: Visual Collections and its graphic designers shall not be held liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, revenue, or business opportunities, arising from the use of its services or the designs provided.

6. Modification of Terms: Visual Collections reserves the right to modify these terms and conditions at any time without prior notice. It is the client's responsibility to review these terms periodically for any changes.

7. Entire Agreement: These terms and conditions constitute the entire agreement between Visual Collections and the client, superseding any prior agreements or understandings, whether written or verbal, relating to the subject matter herein.

8. Governing Law and Jurisdiction: These terms and conditions shall be governed by and construed in accordance with the laws. Any disputes arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction. By engaging in business with Visual Collections and accepting these terms and conditions, the client acknowledges that they have read, understood, and agreed to be bound by all the provisions outlined herein.
